Key ResponsibilitiesCorporate & Commercial Legal AffairsProvide legal advice on corporate, commercial, and regulatory matters.Draft, review, negotiate, and manage a wide range of contracts and legal documents.Ensure compliance with applicable corporate laws, regulations, and governmental requirements.Handle legal matters related to shareholders, board resolutions, and corporate governance.Advise management on legal risks and business implications of strategic decisions.Company Formation & Corporate StructuringLead the establishment, registration, licensing, and restructuring of companies.Manage all legal procedures related to company incorporation, amendments, mergers, acquisitions, and liquidation.Coordinate with government authorities, regulatory bodies, and external legal advisors.Prepare and review Articles of Association, Memorandums of Association, and shareholder agreements.Support foreign investment projects and cross-border company registrations.Compliance & Regulatory AffairsMonitor legal and regulatory developments affecting the business.Develop and implement compliance policies and procedures.Ensure adherence to labor laws, tax regulations, commercial laws, and industry-specific requirements.Conduct legal audits and compliance reviews.Litigation & Dispute ResolutionManage litigation cases and coordinate with external law firms.Represent the company before governmental authorities when required.Handle legal claims, disputes, arbitration matters, and settlement negotiations.Risk ManagementIdentify legal risks and propose mitigation strategies.Provide preventive legal guidance to business units.Review business transactions to ensure legal protection of company interests.QualificationsBachelor's Degree in Law (LL.B.); Master's Degree in Law (LL.M.) is preferred.Licensed Attorney and member of the relevant Bar Association.Minimum 15 years of experience in Corporate Law.Proven experience in company formation, corporate structuring, and governance.Strong knowledge of Egyptian corporate, commercial, labor, and investment laws.Experience handling mergers, acquisitions, and corporate transactions.Excellent contract drafting and negotiation skills.Strong analytical, communication, and problem-solving abilities.Fluency in Arabic and English (written and spoken).
