Job Description The Post Oak Group is seeking an Associate, Investment Banking to support the execution of sell-side M&A and capital markets advisory mandates across the firm's lower middle market practice. This role is designed for a rigorous, detail-oriented professional who can independently produce transaction materials, perform financial analysis, and manage the full execution workstream across active mandates with minimal oversight.This is a client-facing role. The Associate works directly alongside senior bankers in front of founders, CEOs, and institutional investors, with substantive responsibility for deal execution from day one.Role Overview As Associate, Investment Banking, you will serve as the primary execution resource on active mandates, owning the production of transaction materials, financial analysis, and process management so that senior bankers can focus on client relationships and transaction outcomes. You will work across sell-side M&A and capital raises involving companies typically generating $500K to $50M of EBITDA and transactions ranging from Pre-Seed through Series C.The role demands exceptional analytical ability, sound judgment, and the capacity to manage multiple workstreams simultaneously without sacrificing quality or rigor.Key ResponsibilitiesProduce institutional-quality transaction materials, including teasers, confidential information memoranda, management presentations, and executive summariesPerform EBITDA normalization, LTM and PF financial analysis, comparable company and precedent transaction analysis, and construct the supporting financial and market narrativeBuild and tier investor and buyer universes, identifying target firms and the appropriate senior contacts within eachDevelop and maintain financial models, including operating models, sources and uses, and returns and sensitivity analysisSize and validate total addressable and serviceable addressable markets, stress-testing company claims against independent data sources prior to distributionParticipate in client calls, management presentations, and diligence sessions alongside senior bankersSupport investor and buyer outreach, including drafting targeted communications and managing follow-up cadence throughout the processMaintain process management infrastructure, including the deal CRM, outreach tracker, and data room, ensuring all activity and milestones are current and accurateCoordinate across internal teams to ensure materials, investor targeting, and process execution remain aligned with transaction strategyQualificationsPrior investment banking, corporate development, or transaction advisory experience with direct responsibility for sell-side M&A and capital markets executionAbility to independently produce a teaser, CIM, and fully integrated financial modelStrong financial modeling and analytical skills, including EBITDA normalization, trading and transaction comparables, and returns analysisDeep working knowledge of lower middle market M&A processes and early-to-growth stage capital raising dynamics, including deal structures, documentation, and market conventionsAbility to assess and articulate market opportunity in a form suitable for institutional investor consumptionExecutive presence and communication skills sufficient to participate credibly in client and investor settingsExceptional written communication in a capital markets register, with acute attention to detail across all work productHighly organized, self-directed, and comfortable operating in a performance-driven environment with significant individual accountabilityWhy The Post Oak Group The Post Oak Group delivers institutional-quality capital markets and M&A advisory with boutique-level service and direct senior involvement.
