We are seeking a high-caliber strategist and structural expert to join our leadership team as the Corporate Governance Senior Manager. In this pivotal role, you will be the primary architect of the company’s organizational integrity, ensuring that our corporate structure is optimized for growth and our operations are aligned with our long-term strategic vision.Your mission is to bridge the gap between high-level board strategy and ground-level execution. You will define the functional boundaries of our diverse departments, manage corporate risks, and ensure that a 2,500+ headcount organization moves with agility and transparency.Strategic Alignment: Lead the annual strategic planning cycle and track the execution of high-level initiatives.Corporate Governance & Risk: Establish and manage the governance framework, including board committees and corporate reporting.Legal Affairs Coordination: Act as a strategic liaison for legal affairs, ensuring that corporate actions are in full compliance with governance standards and regulatory requirements.Ethics & Internal Grievance (Whistleblowing): Lead the Corporate Integrity & Grievance function to ensure ethical standards and transparency are upheld across all sites.Organization Design: Define and refine the organizational structure and the exact "scope of work" for every department. Senior Leadership: 15+ years of experience in Corporate Governance, Strategy, or Organizational Development, with at least 2 years in a senior management capacity.Large-Scale Experience: A proven track record within established large entities (2,500+ headcount). Experience in the Construction or Engineering sector is highly preferred.Structural Expertise: Demonstrated success in designing complex organizational charts and writing detailed functional scopes for multi-sector firms.Strategic Mastery: Strong ability to perform strategic analysis and translate board-level goals into operational initiatives.Governance Depth: Deep knowledge of risk management frameworks, delegation of authority (DoA) matrices, and the management of board committees.Education: Bachelor’s degree in Business, Law, or Management. An MBA or a Master’s degree in a related field is highly desirable.Character: High emotional intelligence, impeccable ethics, and the ability to command authority when dealing with senior stakeholders.
