This role involves managing AGM and Board of Directors (BoDs) processes, supporting listing and delisting rules compliance, and ensuring adherence to Corporate Governance and Capital Market laws. The position is essential in maintaining strong governance practices and enabling effective decision-making within the organization.Key Responsibilities Support the implementation and monitoring of corporate governance frameworks in line with regulatory requirements in Egypt and the UAE. Assist in preparing and organizing Annual General Meetings (AGMs) and Board of Directors (BoDs) meetings, including agendas, documentation, and minutes. Ensure compliance with regulations set by the Financial Regulatory Authority (FRA) and the General Authority for Investment and Free Zones (GAFI), as well as relevant UAE regulatory bodies. Handle legal processes related to listing requirements and delisting rules, ensuring full regulatory compliance. Review and ensure adherence to Capital Market Law and Corporate Governance regulations. Maintain and update corporate records, governance documents, and statutory filings. Coordinate with internal stakeholders to ensure proper governance practices are implemented across the organization. Support legal documentation, including drafting board resolutions and governance-related documents.Qualifications Bachelor’s degree in Law (English or French Law is preferred). 1–3 years of experience in corporate governance or legal roles, preferably within financial services or listed companies. Strong knowledge of Corporate Governance frameworks and AGM and BoDs processes. Hands-on experience with listing requirements and/or delisting rules is highly preferred. Good understanding of Capital Market Law and regulatory requirements in Egypt and the UAE. Familiarity with FRA, GAFI, and relevant UAE regulatory frameworks. Strong drafting, organizational, and analytical skills. Good command of English (written and spoken). Ability to handle confidential information and work under pressure.
