About the RoleWe are looking for a detail-oriented Governance & Compliance Specialist to lead corporate governance operations and ensure full adherence to regulatory frameworks including FRA regulations, GAFI requirements, and AML compliance standards. If you thrive in a structured, compliance-driven environment with a strong foundation in legal and regulatory frameworks, we'd love to hear from you.Job Responsibilities and DutiesLead the preparation and recording of Board of Directors meeting minutes, Ordinary General Meetings (OGMs), and Extraordinary General Meetings (EGMs), and attend all sessions to ensure accurate documentation and obtain the required approvals and signatures.Coordinate with regulatory authorities, including GAFI and the Financial Regulatory Authority (FRA), and external legal advisors to ensure full compliance and obtain necessary approvals.Maintain and update both physical and digital governance records in alignment with MCDR requirements, ensuring all documents are valid and properly reviewed.Send General Assembly invitations and coordinate with internal departments to collect required data and documentation ahead of scheduled meetings.Follow up on branch documentation, commercial registrations, and company structure updates in compliance with applicable regulations.Liaise with external entities such as Commercial Chambers and Notary Public, and manage required appointments and filings.Handle regulatory-related customer complaints in coordination with internal compliance teams..Required skills and qualifications:Bachelor’s degree in law, Business Administration, or related field. 2+ years of experience in the same role.Solid knowledge of corporate governance, FRA regulations, and GAFI compliance requirements.Completion of an AML (Anti-Money Laundering) course is a strong advantage.Experience attending and documenting Board meetings, OGMs, and EGMs.Familiarity with MCDR record-keeping standards and digital governance systems.Strong organizational, documentation, and communication skills with high attention to detail and ability to meet deadlines.
