In the next phase of its journey, Khazna is looking to continue scaling up its operations in Egypt and to launch its operations in Saudi Arabia.Key Responsibilities1. Legal Operations & Control (Core Mandate)Own and manage the intake, prioritization, and allocation of all legal work across the businessAct as the single point of control for legal requests, ensuring structured workflow and visibilityDefine and enforce service levels (SLAs) and realistic timelines with business stakeholdersEnsure no contracts or legal documents progress to execution without appropriate legal reviewBalance workload across the team, prevent bottlenecks, and maintain delivery efficiencyDrive improvements in legal processes, contract tracking, and internal workflows2. Commercial Contracting & Business SupportOwn the end-to-end contract lifecycle, including structuring, drafting, negotiation, execution, and post-signature managementDraft and negotiate a wide range of agreements, including:Strategic partnershipsVendor and technology agreementsBanking and payment integrationsMarketing and distribution arrangementsEnsure agreements reflect commercial intent, operational realities, and regulatory constraintsAct as the primary legal partner to commercial, product, finance, and operations teams3. Product & Regulatory AlignmentSupport legal structuring of Khazna’s core products (EWA, Salary Advance, Consumer Finance / BNPL)Ensure alignment with applicable regulatory frameworks across Egypt (FRA, CBE), KSA (SAMA), and other marketsWork closely with compliance and product teams to ensure legal, regulatory, and operational consistencyIdentify and clearly communicate legal risks with practical, business-oriented solutions4. Transactions & Strategic Support (in collaboration with GC)Support the General Counsel on:Funding rounds and investor-related workstreamsCross-border structuring and expansion into new marketsComplex transactions and strategic partnershipsCoordinate with external counsel where required, while maintaining internal ownership of deliverables5. Corporate Governance & Legal InfrastructureOversee preparation and maintenance of:Board and shareholder resolutionsPowers of attorneyCorporate records across group entitiesEnsure proper documentation, filing, and accessibility of all legal materialsMaintain and continuously improve legal templates and governance processes6. Team Leadership & Output OwnershipOwn the quality, consistency, and timeliness of all legal output across the teamAllocate work across team members based on priority and complexityReview and guide work from junior and mid-level team membersEnsure consistent drafting standards and negotiation approachSkills & QualificationsLaw degree and admission to the Egyptian Bar Association6–9 years of experience in corporate/commercial law, preferably within fintech, banking, or regulated sectorsStrong experience in commercial contracting and business-facing legal rolesExposure to regulatory environments and cross-border work is preferredExcellent drafting and negotiation skills in Arabic and EnglishStrong commercial judgment and ability to distinguish material risk from noiseAbility to operate independently and manage multiple priorities in a fast-paced environmentProven ability to manage stakeholders and push back when required
